Marketing Services Terms of Service

These Terms of Service ("Terms") govern your use of the managed social media marketing service (the "Service") provided by Green Mountain Legacy LLC ("GML," "we," "us," or "our"). By engaging GML for the Service or connecting your Instagram or Facebook account to the Service, you agree to these Terms.

1. Description of the Service

GML provides a managed social media marketing service for small businesses. The Service may include:

  • AI-assisted content strategy and planning
  • Caption drafting and editing
  • Branded social media image creation
  • Automated publishing to Instagram Business accounts
  • Monthly analytics and performance reporting
  • Content scheduling and account management assistance

The Service is intended for lawful business and marketing purposes only.

1.1 Client Responsibilities

You agree to:

  • Provide accurate business information during onboarding
  • Review and approve content prior to publication
  • Notify GML of material changes to your business, branding, services, or compliance requirements
  • Maintain an active Instagram Business account in good standing
  • Comply with all applicable laws, advertising regulations, and Meta platform rules

You acknowledge that you are solely responsible for reviewing and approving all content before publication, including verifying factual accuracy, claims, disclosures, intellectual property rights, and legal or regulatory compliance.

2. AI-Assisted Content

Portions of the Service utilize generative artificial intelligence tools to assist in drafting captions, reports, strategy recommendations, and visual content. AI-generated content may contain inaccuracies, omissions, unintended similarities to third-party materials, or other errors. GML reviews AI-generated content for quality and brand alignment, but does not guarantee factual accuracy, originality, legal compliance, or fitness for a particular purpose. You remain solely responsible for reviewing and approving all content before publication.

GML does not use your business data or content to train proprietary AI models.

3. Platform Dependency and Third-Party Services

The Service depends on third-party platforms and providers, including but not limited to Meta (Instagram/Facebook), Stripe, Google, GitHub, hosting providers, and AI service providers. You acknowledge and agree that:

  • Meta may change, restrict, suspend, or discontinue API functionality at any time
  • GML is not responsible for outages, API failures, platform limitations, or policy changes imposed by Meta or other third parties
  • Your Instagram and Facebook accounts remain subject to Meta's Terms of Use and policies
  • GML does not guarantee specific marketing results, including engagement, leads, sales, or follower growth

If changes to third-party platforms materially impair the Service, GML will make commercially reasonable efforts to adapt the Service or provide alternative workflows.

4. Account Authorization

By connecting your Instagram or Facebook account to the Service, you represent and warrant that:

  • You are authorized to grant access to the account
  • You are the account owner or have explicit permission from the account owner
  • Your use of the Service complies with Meta's policies and applicable law

You may revoke GML's access through your Meta account settings at any time. Revoking access may limit or prevent GML from providing the Service during the remainder of the billing period.

5. Client Content and Intellectual Property

You retain ownership of all business materials, trademarks, logos, photos, and other content you provide to GML. You grant GML a limited, non-exclusive license to use, reproduce, modify, publish, and display your content solely for the purpose of providing the Service.

You represent and warrant that:

  • You own or have the legal right to use all materials provided to GML
  • Your materials do not infringe the intellectual property, privacy, publicity, or other rights of any third party

GML retains ownership of its internal workflows, systems, template designs, automation methods, and proprietary business processes. Customers receive ownership of the final published content — the specific captions and images created for their business — but not the underlying template designs or automation systems used to produce it.

6. Acceptable Use

You may not use the Service to publish, promote, or distribute content that:

  • Violates any law or regulation
  • Infringes intellectual property rights
  • Contains fraudulent, deceptive, or misleading claims
  • Promotes hate speech, harassment, violence, or discrimination
  • Contains unlawful adult, gambling, or prohibited regulated content
  • Violates Meta platform rules or developer policies
  • Constitutes spam, impersonation, or malicious activity

GML reserves the right to refuse, remove, suspend, or terminate Service for content or activity that violates this section.

7. Fees, Billing, and Subscription Terms

Setup Fee

A one-time setup fee may apply before onboarding begins. The amount will be agreed upon in writing.

Monthly Subscription

The Service is billed on a recurring subscription basis through Stripe. By subscribing, you authorize recurring charges to your selected payment method until cancellation.

Price Changes

GML may modify pricing with at least 30 days advance written notice to active customers. If you do not wish to continue at the revised price, you may cancel before the effective date of the change without additional charges.

Failed Payments

If a recurring payment fails, GML may suspend Service after providing notice and a 7-day opportunity to cure the non-payment.

Refunds

Monthly subscription fees are non-refundable once a billing period begins. Setup fees are non-refundable once onboarding or implementation work has started.

8. Cancellation and Termination

By You

You may cancel the Service at any time by written notice to greenmountainlegacyllc@gmail.com. Cancellation takes effect at the end of the current billing period.

By GML

GML may suspend or terminate the Service:

  • For non-payment
  • Upon credible evidence of fraud or a material security risk
  • For material violations of these Terms, including violations of Section 6
  • To comply with legal or platform obligations

GML may also terminate the Service for convenience with 30 days written notice. If GML terminates the Service without cause, prepaid unused fees for the current billing period will be refunded on a prorated basis.

9. Data and Privacy

Your use of the Service is also governed by the GML Privacy Policy. You acknowledge that use of the Service may involve the processing of account information, social media content, analytics, and Meta platform data necessary to provide the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, GML DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED AVAILABILITY. GML DOES NOT GUARANTEE SPECIFIC BUSINESS RESULTS, PLATFORM UPTIME, ACCOUNT GROWTH, LEAD GENERATION, VIRAL PERFORMANCE, OR ERROR-FREE CONTENT.

11. Limitation of Liability

To the fullest extent permitted by Vermont law:

  • GML's total liability arising from the Service shall not exceed the total fees paid by you during the three (3) months preceding the event giving rise to the claim
  • GML shall not be liable for indirect, incidental, consequential, punitive, or special damages, including lost revenue, lost profits, reputational harm, or business interruption
  • GML is not responsible for decisions, suspensions, restrictions, removals, or enforcement actions taken by Meta or other third-party platforms

Nothing in these Terms limits liability for fraud, gross negligence, or willful misconduct where such limitation is prohibited by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless GML and its owners, employees, contractors, and affiliates from claims, liabilities, damages, losses, and expenses arising from:

  • Materials or instructions you provide
  • Your violation of these Terms
  • Your misuse of the Service
  • Your violation of applicable laws or third-party rights

13. Force Majeure

GML shall not be liable for delays or failures caused by events beyond its reasonable control, including internet outages, cyberattacks, hosting failures, labor disputes, natural disasters, governmental actions, or third-party platform outages or API restrictions.

14. Governing Law

These Terms are governed by the laws of the State of Vermont, without regard to conflict of law principles. Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Vermont.

15. Changes to These Terms

GML may update these Terms periodically. If material changes are made, GML will provide notice to active customers at least 14 days before the updated Terms take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
